What Documents Are Needed?

Branches in Brazil are subject to prior approval from the Brazilian Government and they are most commonly used by foreign banks and airline companies. The procedure of opening a branch in Brazil is extremely complex. To register a branch in Brazil CKSA needs to submit the incorporation documents of the foreign company to the Brazilian Government and request its authorization to do business in Brazil. The foreign company will need to issue a Power of Attorney to CKSA. This Power of Attorney will be submitted to the Brazilian Government together with the documents of the foreign company.

Once the Brazilian Government approves the branch, the authorization will be published in the Diário Oficial da União – DOU (Official Journal of the Union). This authorization and documents of the foreign company will be archived at a Brazilian Board of Trade.

The company must then develop its activities within twelve months of the authorization. If not, the authorization will automatically expire. Setting the business activities clearly in its articles of association is essential once the Brazilian government can cancel the authorization anytime if the company acts outside its established corporate purpose.
